1. Acceptance of these Terms
These Terms of Use (the "Terms") are a binding agreement between you and Halogen Systems Inc. ("Halogen Systems," "we," "us," or "our"). They govern your access to and use of our websites at halogensys.com and halogensystems.com, our customer portals, online calculators, downloadable resources, and any other Halogen Systems online services that link to or reference these Terms (collectively, the "Services").
By accessing or using the Services, you confirm that you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.
Purchases of Halogen Systems hardware, software, or services are governed by our separate Terms of Sale. In the event of a conflict between these Terms of Use and the Terms of Sale with respect to a purchase, the Terms of Sale control.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Services. If you are using the Services on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms.
3. License to use the Services
Subject to your compliance with these Terms, Halogen Systems grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes (or, for non-customers, for the purpose of evaluating our products and content). No other rights are granted by implication or estoppel.
4. Intellectual property
All content on the Services — including text, graphics, photographs, illustrations, drawings, schematics, video, audio, software, data sheets, white papers, brochures, articles, and trademarks — is owned by Halogen Systems or our licensors and is protected by copyright, trademark, trade dress, patent, and other intellectual property laws.
Halogen Systems®, MP5™, MP-TOTAL™, MP-HOT™, MP-ORP™, SensiCLĒNE™, MKIT™, D20™, and other Halogen Systems product names, logos, and slogans are trademarks of Halogen Systems Inc. and may not be used without our prior written permission.
You may download, print, and share Halogen Systems content for non-commercial, informational purposes, provided you keep all copyright and proprietary notices intact. Any other use — including modification, redistribution, framing, scraping, or incorporation into a commercial product — requires our prior written consent.
5. User accounts and credentials
Some Services (such as our customer portal, sales rep portal, Where's My Stuff order-tracking tool, and training portal) require an account. You agree to:
- Provide accurate, current, and complete information when registering.
- Keep your credentials confidential and not share them with anyone.
- Be responsible for all activity that occurs under your account.
- Notify us immediately at info@halogensys.com if you suspect unauthorized access.
We may suspend or terminate accounts that we reasonably believe are inactive, compromised, or used in violation of these Terms.
6. Acceptable use
You agree not to:
- Use the Services in violation of any applicable law or regulation.
- Infringe or violate the intellectual property, privacy, publicity, or other rights of any person or entity.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software made available through the Services, except to the extent permitted by mandatory applicable law.
- Scrape, crawl, harvest, or extract data from the Services in a manner that imposes an unreasonable load on our infrastructure or that circumvents our published interfaces.
- Use any automated means to access the Services without our express prior written permission, except for compliant search-engine indexing.
- Use the Services to send spam, deliver malware, conduct phishing, or otherwise engage in deceptive or harmful activity.
- Probe, scan, or test the vulnerability of the Services or attempt to circumvent any security, authentication, or rate-limiting feature.
- Use the Services to harass, threaten, or impersonate any person, or to upload content that is unlawful, defamatory, obscene, or otherwise objectionable.
- Interfere with or disrupt the integrity or performance of the Services.
We may investigate suspected violations and take any action we consider appropriate, including restricting or terminating access without notice.
7. Calculators, tools, and informational content
Our Services include interactive tools such as the savings calculator, product selector, and order-tracking portal, and informational content such as white papers, articles, installation guides, application notes, and data sheets.
These tools and content are provided for general informational and educational purposes. Results from the savings calculator and similar tools are estimates only based on the inputs you provide and assumptions stated in the tool. Product specifications, certifications, and performance claims published on the Services are subject to change without notice. Always consult the current product data sheet and installation manual for the specific equipment you intend to purchase or install, and consult a qualified water-treatment professional or licensed engineer for project-specific recommendations.

If you submit feedback, suggestions, ideas, comments, or other communications about the Services or our products ("Submissions"), you grant Halogen Systems a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, and distribute such Submissions for any lawful purpose, without any obligation of attribution or compensation.
9. Third-party links and services
The Services may contain links to third-party websites, content, products, or services that we do not own or control. We provide these links for your convenience and do not endorse the third parties or their content. Your interactions with third parties are governed by their terms and privacy policies, and we are not responsible for those interactions.
10. Copyright and DMCA
We respect intellectual property rights and expect users of the Services to do the same. If you believe content on the Services infringes your copyright, please submit a notice following the procedure described on our DMCA Notice page.
11. Disclaimer of warranties
THE SERVICES AND ALL CONTENT, TOOLS, AND INFORMATION PROVIDED THROUGH THEM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, HALOGEN SYSTEMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION.
We do not warrant that the Services will be error-free, secure, or uninterrupted, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components. Warranties applicable to purchased products are governed exclusively by our Terms of Sale and any written warranty provided with the product.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL HALOGEN SYSTEMS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF USE, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). LIABILITY ARISING OUT OF PURCHASED PRODUCTS IS GOVERNED EXCLUSIVELY BY THE LIMITATIONS IN OUR TERMS OF SALE.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Halogen Systems and its affiliates, officers, directors, employees, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party right.
14. Termination
We may suspend or terminate your access to the Services at any time, with or without notice and with or without cause. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.
15. Governing law and dispute resolution
These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be brought exclusively in the state or federal courts located in Washoe County, Nevada, and you consent to the personal jurisdiction and venue of those courts.
YOU AND HALOGEN SYSTEMS AGREE THAT ANY CLAIM MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
16. Export controls and sanctions
The Services and the information made available through them may be subject to U.S. and other export-control and economic-sanctions laws. You agree to comply with all applicable laws and not to access, download, or use the Services in or for the benefit of any jurisdiction or person subject to U.S. embargoes or sanctions.
17. Changes to these Terms
We may revise these Terms from time to time. The revised Terms will be effective when posted on this page with a new "Last updated" date. If we make material changes, we will provide additional notice (such as a banner on the Services or an email to registered users). Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
18. General
These Terms, together with our Privacy Policy and any other policies referenced here, constitute the entire agreement between you and Halogen Systems regarding the Services and supersede any prior or contemporaneous agreements on that subject. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms; we may assign them freely.
